LLC & Business Formation

Should I form an LLC or corporation in Illinois?

The right structure depends on ownership, tax treatment, management, financing plans, liability concerns, and the way the business expects to grow or exit. We explain the legal differences and coordinate with the client's tax adviser when tax treatment drives the decision.

What documents does a new business need?

Formation is not complete when the state filing is accepted. A well-structured business may also need an operating agreement, bylaws, shareholder or partnership agreement, initial consents, ownership records, assignment documents, and contracts with founders, workers, customers, or vendors.

How do agreements prevent founder disputes?

Clear documents define voting rights, management authority, contributions, distributions, transfer restrictions, buyouts, deadlock procedures, and what happens when an owner leaves, dies, becomes disabled, or stops contributing.

Formation for real estate owners

Investors often use entities to hold or acquire real estate. We can align the entity documents with the purchase contract, financing, ownership percentages, management responsibilities, and eventual sale strategy.
