What should a business contract cover?
A useful contract clearly states what each party must do, when performance is due, how payment works, who owns the work, how confidential information is protected, how risk is allocated, and what happens if the relationship ends or a party defaults.
Contracts we handle
We work on service agreements, vendor and customer contracts, purchase orders, confidentiality agreements, licensing and distribution terms, independent-contractor agreements, commercial leases, settlement agreements, and transaction documents.
Why have a lawyer review a contract before signing?
The most expensive clause is often the one nobody discussed: an automatic renewal, broad indemnity, personal guaranty, one-sided termination right, distant forum, or remedy that does not match the deal. Early review creates room to negotiate before leverage disappears.
Negotiation that protects the business
We identify the few terms that materially affect the client's economics and risk, explain the tradeoffs in plain language, and negotiate a document that the business can actually operate under.
